These terms and conditions ("Terms", "Agreement") are an agreement between WRITER sp. z o.o. ("WRITER sp. z o.o.", "us", "we", or "our") and you ("User", "you", or "your"). This Agreement sets forth the general terms and conditions of your use of the Writer software and any of its products or services (collectively, "Software" or "Services").

You agree that by accessing the Software and its Services, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms from time to time. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.

Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

This Agreement does not transfer to you any intellectual property owned by WRITER sp. z o.o. or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with WRITER sp. z o.o. All trademarks, service marks, graphics, and logos used in connection with our Software or its Services are trademarks or registered trademarks of WRITER sp. z o.o. or WRITER sp. z o.o. licensors. Other trademarks, service marks, graphics, and logos used in connection with our Software or its Services may be the trademarks of other third parties. Your use of our Software and its Services grants you no right or license to reproduce or otherwise use any WRITER sp. z o.o. or third-party trademarks.

User Representations

By using the Software and its Services, you represent and warrant that:

• You have the legal capacity and you agree to comply with these Terms;
• You are not a minor in the jurisdiction in which you reside;
• You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise;
• You will not use the Services for any illegal or unauthorized purpose;
• Your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid, or unenforceable. If any provision or portion of any provision of this Agreement is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Assignment

You may not assign, resell, sub-license, or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of our rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.

Changes and amendments

We reserve the right to modify this Agreement or its policies relating to the Software or its Services at any time, effective upon posting of an updated version of this Agreement on the Website.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By using the Software or its Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the Software and its Services.
